In these Terms, PARA SIA is referred to as “PARA”, “we”, “us” or the “Seller”.

2. Scope of these Terms

2.1. These Terms apply to purchases made through fromPARA.com by both consumers and business customers.

2.2. A Consumer is a natural person purchasing goods for purposes outside their economic or professional activity. References in these Terms to statutory consumer rights, including the statutory right of withdrawal, apply only to Consumers.

2.3. A Business Customer is a natural or legal person purchasing goods for purposes related to its economic or professional activity. Mandatory consumer protections do not apply to Business Customers unless applicable law expressly provides otherwise.

2.4. PARA sells primarily tea and other food products, bath salts and wellness products, candles, household products, gifts and related goods.

2.5. By placing an order, the Customer confirms that they have had an opportunity to read these Terms and the information presented during the ordering process before submitting the order.

2.6. Nothing in these Terms excludes or limits any mandatory rights that cannot lawfully be excluded or limited.

3. Product information and availability

3.1. The main characteristics of each product are provided on its product page. Where applicable, product information may include ingredients, quantity, composition, allergens, usage or safety information and other legally required information.

3.2. Customers should read the product description, ingredients and applicable usage or safety information before purchasing or using a product.

3.3. Product photographs are intended to represent the goods as accurately as reasonably possible. Display settings, photography and natural variations in ingredients or materials may cause minor differences in colour or appearance.

3.4. Products are offered subject to availability.

3.5. If a product becomes unavailable after an order has been placed, PARA will inform the Customer and refund any amount paid for the unavailable product unless another solution is expressly agreed with the Customer.

4. Prices and charges

4.1. Prices displayed to Consumers include applicable VAT unless clearly stated otherwise.

4.2. Delivery charges and any other applicable charges are displayed before the Customer places the order.

4.3. The total amount payable, including applicable taxes and delivery charges, is displayed before the Customer submits an order carrying an obligation to pay.

4.4. PARA will not charge a Customer additional costs that were not disclosed and accepted before the order was placed.

5. Ordering and conclusion of the contract

5.1. The Customer selects the products, adds them to the shopping cart, provides the required billing and delivery information, selects an available delivery and payment method and reviews the order before submitting it.

5.2. The Customer can review and correct input errors before placing the order.

5.3. The final ordering step will clearly indicate that submitting the order creates an obligation to pay.

5.4. After the order is submitted, PARA sends an electronic confirmation to the email address supplied by the Customer.

5.5. The contract is concluded when PARA accepts the order and confirms it to the Customer.

5.6. PARA provides the applicable contractual information to Consumers electronically on a durable medium as required by applicable law.

6. Payment

6.1. Online payments are processed through Stripe.

6.2. The payment methods currently available for a particular order are displayed at checkout. Depending on availability and the Customer’s device, country and other applicable conditions, these may include payment cards, digital wallets and other payment methods supported through Stripe.

6.3. The Customer must be authorised to use the selected payment method and must provide accurate payment information.

6.4. Where payment details are submitted directly to Stripe or another payment provider, PARA does not receive the Customer’s complete payment-card credentials.

6.5. PARA may cancel an order if payment is declined, cancelled or cannot be completed.

7. Delivery

7.1. PARA currently delivers orders within Latvia, Lithuania and Estonia.

7.2. Orders are delivered using Omniva. Available delivery options are displayed during checkout.

7.3. The applicable delivery charge is calculated and displayed before the Customer submits and pays for the order. The delivery charge accepted during checkout forms part of the total order price and will not subsequently be increased for that order.

7.4. Estimated delivery times displayed by PARA are based on the applicable order-processing time and the carrier’s estimated transit time.

7.5. Omniva’s current delivery information is available in its delivery information and terms. Omniva currently indicates approximately 1–2 working days for domestic parcel-terminal delivery and 2–3 working days for Baltic parcel-terminal delivery after the parcel has been handed over to Omniva. Carrier delivery times are estimates and may be affected by circumstances such as traffic, weather, holidays or parcel-terminal capacity.

7.6. The delivery estimate applicable to the Customer’s particular order is shown during ordering. Where mandatory law provides a maximum delivery period in the absence of another agreement, that requirement remains applicable.

7.7. The Customer is responsible for providing complete and accurate delivery and contact information.

7.8. If a parcel is returned to PARA because the Customer provided incorrect delivery information or failed to collect the parcel within the carrier’s collection period, PARA may require payment of reasonable additional delivery costs before resending it, to the extent permitted by applicable law.

8. Transfer of risk

8.1. For Consumers, the risk of loss of or damage to goods passes when the Consumer, or a third party designated by the Consumer other than the carrier, obtains physical possession of the goods.

8.2. Where the Consumer independently commissions a carrier that was not offered by PARA, the applicable statutory rules governing transfer of risk apply.

CONSUMER RIGHT OF WITHDRAWAL

9. Statutory 14-day right of withdrawal

9.1. This Section applies to Consumers only.

9.2. Except where a statutory exception applies, a Consumer has the right to withdraw from a distance contract within 14 days without giving a reason.

9.3. For goods, the 14-day period generally begins on the day on which the Consumer, or a third party designated by the Consumer other than the carrier, obtains physical possession of the goods.

9.4. Where multiple goods ordered in one order are delivered separately, the period begins when the last item is received. Where a product is delivered in several lots or pieces, it begins when the final lot or piece is received.

10. How to exercise the right of withdrawal

10.1. To exercise the right of withdrawal, the Consumer must inform PARA of the decision to withdraw by an unequivocal statement before the withdrawal period expires.

The notification may be sent to:

PARA SIA

Mazā Juglas iela 3F

Rīga, LV-1064

Latvia

[email protected]

10.2. The Consumer may use the Model Withdrawal Form in Section 25 below, but use of the form is not mandatory.

10.3. The withdrawal deadline is met if the Consumer sends the withdrawal notification before the applicable withdrawal period expires.

11. Returning goods after withdrawal

11.1. After exercising the right of withdrawal, the Consumer must return the goods to:

PARA SIA

Mazā Juglas iela 3F

Rīga, LV-1064

Latvia

without undue delay and no later than 14 days after notifying PARA of the withdrawal.

11.2. The deadline is met if the Consumer sends the goods before the 14-day return period expires.

11.3. Unless PARA expressly agrees otherwise, the Consumer bears the direct cost of returning the goods.

11.4. Returned goods should be appropriately packaged to prevent damage during transport.

12. Refunds following withdrawal

12.1. Following a valid withdrawal, PARA will reimburse payments received from the Consumer in respect of the withdrawn contract, including the cost of PARA’s least expensive standard delivery method offered for that order.

12.2. If the Consumer selected a delivery method more expensive than PARA’s least expensive standard delivery option, PARA is not required to refund the additional delivery cost.

12.3. PARA will make the reimbursement without undue delay and no later than 14 days after being informed of the Consumer’s decision to withdraw.

12.4. PARA may withhold reimbursement until it has received the returned goods or the Consumer has provided evidence that the goods were sent back, whichever occurs first.

12.5. Unless expressly agreed otherwise, reimbursement will be made using the same payment method used for the original transaction, without PARA charging the Consumer a reimbursement fee.

13. Inspection, use and diminished value

13.1. Where the right of withdrawal applies, the Consumer may inspect and handle goods only to the extent necessary to establish their nature, characteristics and functioning, comparable to the inspection reasonably possible in a physical shop.

13.2. The Consumer may be liable for any diminished value caused by handling beyond what is necessary for this purpose.

13.3. This rule is separate from statutory situations in which opening sealed packaging causes the right of withdrawal itself not to apply.

14. Exceptions to the right of withdrawal

14.1. The right of withdrawal does not apply where an exception established by applicable law applies.

14.2. Exceptions potentially relevant to PARA products include:

a) Goods liable to deteriorate or expire rapidly.

The statutory right of withdrawal does not apply to goods that are liable to deteriorate or expire rapidly.

b) Sealed goods unsuitable for return for health-protection or hygiene reasons.

The statutory right of withdrawal does not apply to goods supplied sealed that are not suitable for return due to health-protection or hygiene reasons if the Consumer has unsealed them after delivery.

c) Personalised goods.

The statutory right of withdrawal does not apply to goods made to the Consumer’s specifications or clearly personalised.

These are statutory exceptions and are applied only where the legal conditions for the particular exception are satisfied.

15. Tea and other food products

15.1. The fact that a product is tea or another food product does not by itself eliminate the Consumer’s statutory right of withdrawal.

15.2. An unopened product remains subject to the statutory right of withdrawal unless another statutory exception applies.

15.3. Where tea or another food product has been supplied in sealed packaging, and after the Consumer has broken or opened that seal the product is genuinely unsuitable for return for health-protection or hygiene reasons, the statutory right of withdrawal does not apply after unsealing.

15.4. A product liable to deteriorate or expire rapidly may separately fall within the statutory exception for rapidly deteriorating or expiring goods.

15.5. PARA does not classify ordinary shelf-stable tea as a rapidly perishable product merely because it is food.

15.6. These provisions concern change-of-mind withdrawal only. They do not restrict the Consumer’s statutory rights where tea or another food product is defective, contaminated, unsafe, incorrectly supplied, incorrectly labelled or otherwise does not conform to the contract.

16. Bath salts and wellness products

16.1. The fact that a product is a bath or wellness product does not by itself eliminate the right of withdrawal.

16.2. An unopened product remains subject to the statutory right of withdrawal unless another statutory exception applies.

16.3. Where a particular product has been supplied sealed and is genuinely unsuitable for return for health-protection or hygiene reasons once that seal has been broken or opened, the statutory right of withdrawal does not apply after unsealing.

16.4. These provisions do not affect statutory rights concerning defective, unsafe, damaged, incorrectly supplied or otherwise non-conforming goods.

17. Candles

17.1. Candles are subject to the ordinary statutory right of withdrawal unless another statutory exception applies.

17.2. Opening ordinary external packaging does not by itself eliminate the right of withdrawal.

17.3. The Consumer may nevertheless be responsible for diminished value caused by handling or use beyond what is necessary to establish the candle’s nature and characteristics.

17.4. Burning a candle goes beyond the inspection normally necessary to establish its nature and characteristics and may cause substantial diminished value.

NON-CONFORMING GOODS AND COMPLAINTS

18. Damaged, defective, incorrect or non-conforming goods

18.1. A change-of-mind withdrawal and a claim concerning defective or non-conforming goods are separate rights.

18.2. PARA is responsible for goods that fail to conform to the contract in accordance with applicable mandatory law.

18.3. Consumers have the statutory rights and remedies provided by the applicable consumer-protection legislation concerning non-conforming goods.

18.4. Depending on the circumstances and statutory conditions, remedies may include bringing goods into conformity, replacement, an appropriate price reduction or termination of the contract and reimbursement.

18.5. Statutory remedies for non-conforming goods are provided without charge where required by law.

18.6. Opening a product does not by itself eliminate a legitimate claim that the product was defective, unsafe, damaged, incorrectly supplied or otherwise non-conforming.

19. Complaints

19.1. Questions and complaints may be submitted to:

PARA SIA

Mazā Juglas iela 3F

Rīga, LV-1064

Latvia

[email protected]

+371 2254 2254

19.2. To enable PARA to investigate a complaint efficiently, Customers should provide their order number, a description of the issue and, where reasonably possible, photographs or other relevant information.

19.3. Consumer complaints will be handled within the periods and according to the procedures required by applicable Latvian consumer-protection law.

20. Liability

20.1. PARA is responsible for fulfilling its obligations under the contract and applicable mandatory law.

20.2. Nothing in these Terms excludes or limits PARA’s liability or a Customer’s rights where such exclusion or limitation is prohibited by law.

20.3. PARA is not responsible for losses resulting solely from materially incorrect information supplied by the Customer or other circumstances attributable to the Customer, subject to mandatory law.

21. Personal data

21.1. PARA processes personal data necessary for order processing, payment, delivery, customer service and other lawful purposes in accordance with applicable data-protection legislation.

21.2. Further information is provided in PARA’s Privacy Policy available on fromPARA.com.

21.3. Payment information submitted directly to Stripe is processed subject to the applicable payment provider’s privacy and security arrangements.

22. Intellectual property

22.1. PARA’s trademarks, trade names, graphics, photographs, text, product designs and other website content may be protected by intellectual-property rights.

22.2. Purchasing a product does not transfer intellectual-property rights in PARA’s branding, product designs or website content.

23. Circumstances beyond reasonable control

23.1. PARA is not liable for a delay or failure to perform an obligation to the extent that performance is prevented by circumstances beyond PARA’s reasonable control and only to the extent permitted by applicable law.

23.2. PARA will take reasonable steps to mitigate the effects of such circumstances and inform affected Customers where appropriate.

23.3. This provision does not restrict mandatory Consumer rights, including rights arising from failure to deliver goods within an agreed or legally applicable period.

24. Governing law and dispute resolution

24.1. These Terms and contracts concluded with PARA are governed by the laws of the Republic of Latvia.

24.2. For Consumers, this choice of law does not deprive a Consumer habitually resident in another country of mandatory consumer protection that applies to that Consumer under applicable EU conflict-of-laws rules.

24.3. Nothing in these Terms restricts a Consumer’s right to bring proceedings before a court having jurisdiction under applicable EU or national law.

24.4. Consumers are encouraged to contact PARA first at [email protected] so that PARA and the Consumer can attempt to resolve a dispute directly.

24.5. If a dispute cannot be resolved directly, Consumers may be entitled to seek assistance from the Latvian Consumer Rights Protection Centre (Patērētāju tiesību aizsardzības centrs — PTAC) and, where applicable, the Consumer Dispute Resolution Commission (Patērētāju strīdu risināšanas komisija).

26.3. Amendments do not retroactively change an existing contract unless expressly agreed by the parties or required by applicable law.
